Terms and Conditions

The following Terms and Conditions govern the services provided by TOG Utilities. These terms apply when a customer uses the TOG Utilities price comparison and switching service. By accessing or using our services, you agree to be bound by these Terms and Conditions.

Definitions

Agreement: The contractual relationship between TOG Utilities and the Customer as set out in these Terms and Conditions and any Letter of Authority (LOA).

Contract: The agreement entered into between the Customer and the energy supplier for the supply of electricity or gas.

Letter of Authority (LOA): A document authorising TOG Utilities to obtain energy supply information and communicate with suppliers on behalf of the Customer.

Micro Business Customer: A non-domestic customer that meets the criteria defined under UK energy regulations (for example, fewer than 10 employees or limited annual energy consumption).

Third Party Intermediary (TPI): An organisation such as an energy broker or consultancy that assists businesses in comparing and arranging energy contracts.

Standing Charge: A fixed daily charge applied by an energy supplier for maintaining the supply connection and network services.

Price Comparison and Switching Service

TOG Utilities provides an independent energy price comparison and switching service for UK businesses.

To use our services you must:

• Be a business based in the United Kingdom
• Be at least 18 years old if operating as a sole trader
• Provide accurate information regarding your business and energy usage

TOG Utilities will use reasonable efforts to identify competitive energy prices from a panel of suppliers.

Quotes provided are based on the information supplied by the Customer and are subject to supplier approval and terms. Acceptance of a contract is solely between the Customer and the supplier.

Charges and Commission

TOG Utilities is typically remunerated by energy suppliers through commission payments when a customer enters into an energy contract arranged by us.

This commission may be incorporated into the unit rate or standing charge of the energy contract.

Commission structures may vary depending on the supplier, contract length, energy consumption and credit risk of the customer.

Customers may request further information about commission arrangements by contacting us.

Customer Responsibilities

Customers agree to:

• Provide accurate and up-to-date information
• Cooperate with TOG Utilities during the quotation and contract process
• Review supplier contract terms before agreeing to them
• Ensure timely payments to the energy supplier once a contract is active

Customers must also avoid entering duplicate contracts for the same supply point during the contract process.

Contracts and Failure to Go Live

TOG Utilities will assist in arranging energy contracts with suppliers. However, not all contracts may successfully go live.

If a contract fails to commence due to incomplete information provided by the customer or supplier refusal, TOG Utilities may reserve the right to charge an administrative fee or recover commission that would otherwise have been payable.

Duplicate Contracts

If a customer agrees to an energy contract arranged by TOG Utilities but subsequently enters into another contract with a different supplier causing the original contract to fail, TOG Utilities may reserve the right to recover associated costs or commission losses.

Change of Tenancy

If a customer vacates premises during an energy contract (Change of Tenancy), the customer must notify TOG Utilities in writing as soon as possible and provide supporting evidence where required.

Failure to notify may result in additional charges from the energy supplier.

Cooling Off Period

Business energy contracts generally do not include a cooling-off period once the agreement has been accepted by the supplier.

Customers should carefully review contract details before agreeing to any contract.

Government Charges

Energy prices may include government-regulated costs, network charges or taxes. TOG Utilities is not responsible for changes to pricing caused by such charges.

Liability

Energy supply contracts are entered into directly between the Customer and the chosen energy supplier.

TOG Utilities does not supply energy and therefore is not responsible for supplier billing issues, supply interruptions or contractual disputes between the Customer and the supplier.

To the extent permitted by law, TOG Utilities shall not be liable for indirect losses including loss of profits, loss of savings, or loss of business opportunities.

Force Majeure

Neither party shall be liable for failure or delay in performing obligations where such delay or failure results from circumstances beyond reasonable control including natural disasters, government action, or supplier failures.

Data Protection

TOG Utilities processes personal data in accordance with UK data protection laws and our Privacy Policy.

Customer information may be shared with energy suppliers where necessary to arrange energy contracts or provide services.

Confidentiality

Both parties agree to keep confidential any non-public information obtained during the course of the business relationship unless disclosure is required by law or regulatory authorities.

Termination

TOG Utilities reserves the right to terminate services immediately if a customer:

• Breaches these Terms and Conditions
• Provides false or misleading information
• Fails to cooperate with the contract arrangement process

Termination will not affect any existing rights or obligations.

Governing Law

These Terms and Conditions are governed by the laws of England and Wales. Any disputes arising from these terms shall fall under the exclusive jurisdiction of the courts of England and Wales.
